Terms & Conditions
These Terms & Conditions (GTC) of WEDOOALL SOLUTIONS SL (headquartered in Valencia, Spain) are translated from the Spanish version, which prevails in the event of any discrepancy.

Article 1 — Scope
These GTC govern all consulting, audit, development, integration, IT maintenance or training services provided by Wedooall SL, headquartered in Valencia, Spain. They also apply to associated products or software. They prevail over any other document, unless Special Conditions are expressly accepted.
Article 2 — Definitions
- Provider: Wedooall Solutions SL.
- Client: the professional entity requesting the services.
- Order: acceptance of the quote, signature of the order.
- Services: the IT services described in the quote.
- Special Conditions: the document setting out the specific terms (price, duration, scope).
Article 3 — Formation of the contract
The contract is deemed formed upon Wedooall SL's receipt of the order or signed quote. Acceptance entails unreserved acceptance of these GTC, even if the Client refers to its own terms.
Article 4 — Price, invoicing and payment
Prices are set out in the Special Conditions (fixed price, hourly rate, subscription). Amounts are exclusive of VAT. Payment is due within 30 days net, unless otherwise stated. In the event of late payment, penalties equal to three times the statutory interest rate apply, plus a fixed debt-recovery indemnity.
Article 5 — Timelines and obligations of the parties
Wedooall SL undertakes to meet the contractual timelines. The Client must provide the necessary information, access and resources in good time. The Provider is bound by an obligation of means, without guarantee of result.
Article 6 — Subcontracting
Wedooall SL may use qualified subcontractors or freelancers. It remains responsible for the proper performance of its services.
Article 7 — Intellectual property
Rights in the deliverables created specifically for the Client are transferred after full payment. Wedooall retains its generic tools, methods and components.
Article 8 — Confidentiality and data protection
Both parties undertake to keep the exchanged information confidential. Wedooall SL complies with the GDPR, in particular when acting as a data processor on behalf of the Client.
Article 9 — IT security and cybersecurity
The Provider follows good practices (secure access, security audit, encryption) and informs the Client of any risks.
Article 10 — Warranty and maintenance
For development or corrective projects, a corrective warranty may be defined in the quote (duration, scope exclusions).
Article 11 — Liability and force majeure
Liability is limited to direct damages and may not exceed the amount invoiced (excl. VAT) over the last 12 months. Indirect damages (loss of business, data, etc.) are excluded. In the event of force majeure (as legally defined), obligations are temporarily suspended.
Article 12 — Term and termination
The term is specified in the Special Conditions. Early termination is possible in the event of serious breach or non-payment after formal notice has remained without effect (15 days), without prejudice to amounts already due.
Article 13 — Governing law and jurisdiction
These GTC are governed by Spanish law. Any dispute falls under the jurisdiction of the Commercial Court (Juzgado de lo Mercantil) of Valencia, Spain. The parties undertake to seek an amicable solution before taking legal action.
